INTRODUCTION

The boardroom, once the domain of human instinct, experience, and negotiation, is now welcoming an uninvited yet inevitable guest: artificial intelligence. Recent amendments to Securities and Exchange Board of India (Intermediaries) Regulations, 2008 underscore a fundamental reality: companies must not only harness AI’s potential but also be held accountable for its consequences. As India’s regulatory framework adapts to this new era, the legal, ethical, and operational stakes of AI-driven corporate governance have never been higher.


THE AI GOVERNANCE CHALLENGE

Corporate governance has long rested on principles of transparency, accountability, and fiduciary duty. The introduction of AI in corporate decision-making, however, complicates these fundamentals. AI models operate on vast datasets, detecting patterns and making predictions at a scale no human mind could rival. Consider the case of algorithmic trading. AI-powered trading platforms execute transactions in milliseconds, making complex decisions based on real-time market data. While this boosts efficiency, it also exposes the market to unforeseen risks, including flash crashes and manipulative trading patterns. SEBI’s regulatory response to AI-driven financial services is an attempt to balance innovation with investor protection. By explicitly holding intermediaries accountable for AI-generated financial decisions, the new framework aims to prevent ethical lapses and regulatory blind spots. Yet, the challenge remains: how does one regulate something that evolves and learns at a pace far beyond human comprehension?


THE ROAD AHEAD

AI’s role in corporate governance is poised to expand, and so too will the regulatory oversight required to keep it in check. The SEBI amendments mark a crucial first step, but they also raise fundamental questions about the future of AI regulation. Should AI-driven boardroom decisions be subject to independent audits? Will companies need "AI ethics committees" to oversee algorithmic decision-making? Can legal frameworks keep pace with the rapid evolution of machine learning models?


One thing is certain: as AI becomes an indispensable part of corporate strategy, businesses will need to navigate an increasingly complex regulatory landscape. The onus is on corporate leaders to not only leverage AI for competitive advantage but also to ensure that its deployment aligns with legal standards and ethical considerations. Governance in the digital age demands more than just compliance—it requires a fundamental rethinking of responsibility, transparency, and trust in an algorithm-driven world.
